Compliance Activities
In a general sense, corporations are social entities, and they are expected to fulfill their roles as members of society. Compliance, i.e. complying with legal and ethical standards in conducting corporate activities, is the basis of sustainability of corporations.

Subject of Eisai's compliance activities are all employees in the Eisai Group, that is, all members of the board of directors, officers and employees (including regular employees, part-time workers, and temporary staff). Rather than just passively follow relevant laws, Eisai has set a goal that each of us conducts our business activities in accordance with high ethical standards and the spirit of the law.

In March 2000, Eisai established the Charter of Business Conduct and the Code of Conduct. In the following month, Eisai set up its first Compliance Counter (a tool designed for employees seeking Compliance advice and reporting) for carrying out Compliance at all companies in the Eisai Group.
Compliance Promotion Structure
The Chief Compliance Officer was appointed to oversee Compliance in the overall Eisai Group from legal and ethical perspective. The Compliance Committee, whose members comprised mainly of outside legal experts from Japan, the United States, and Europe, was established to give advice and recommendations to the Chief Compliance Officer.

The Corporate Ethics Compliance Department was set up exclusively for the purpose of promoting Compliance policies.

Under the above-described structure, and with the primary aim of disseminating Compliance among all Directors, Officers and employees, the following activities were carried out.

 Publication of Compliance Handbook

A Compliance Handbook was published and distributed to all Directors, Officers and employees in Eisai and all its affiliated companies in Japan and overseas. It includes the Charter of Business Conduct and the Code of Conduct.

 Distribution of Compliance Card

Wallet-sized Compliance Cards have been prepared and distributed to Directors, Officers and employees. It contains information on how to access the Compliance Counter as well as Compliance Test, a self-check guidance whenever employees feel uncertain whether they are complying with our Compliance policies.

 Education, Training and Surveys

Education and training programs are consistently designed and carried out to maintain and raise the level of knowledge and awareness of Compliance among Directors, Officers and employees in the Eisai Group. They are designed to address concerns of employees in the business environment and their needs.

Compliance Surveys for evaluating the level of dissemination of our Compliance Program among Directors, Officers and employees in all Eisai, including those working in affiliated companies in Japan and overseas, are also conducted: e.g. whether they have read the Compliance Handbook; whether they have used the Compliance Counter; and so on.

 Operation of Compliance Counters

Compliance Counters were established in the Corporate Ethics Compliance Department and at the offices of outside lawyers. During the fiscal year 2006, the Compliance Counter, operated by the Corporate Ethics Compliance Department, has received 679 inquiries.

Compliance Counters are gradually being set up within affiliate companies in Japan and overseas to serve as helplines for employees seeking Compliance advice on their day-to-day work.

A Charter of Business Conduct was established for implementing Compliance in the Eisai Group. All Directors, Officers and employees are required, in the conduct of their daily business activities, to act strictly in accordance with this Charter, working to achieve the corporate goals that this Charter defines.

The purpose of this Code is to give every Eisai personnel information about how they can act in accordance with the Charter. The Code is a guide for our personnel to help minimize or eliminate the legal and ethical risks associated with our business activities.

 Compliance Counters
Compliance Counters have been set up as a helpline to assist our Directors, Officers and employees to conduct their daily activities in line with Compliance. The Compliance Counter handles all inquiries and contacts related to Compliance.

COMPLIANCE TEST
It is designed for Directors, Officers, and employees of Eisai Group to ask themselves if they are not sure that they comply with our Compliance standards.

2. Do you think the only way to avoid a problem is not to tell anyone what you did?
3. How would you feel if you read a report of your activities in the news media?
